Terms of Service

Our services are designed for business-to-business (B2B) transactions only. By using our services, you represent and warrant that:

• You are a registered business entity or a duly authorized representative acting on behalf of a company.
• You have the legal authority to enter into binding agreements on behalf of your organization.
• Your use of our services complies with all applicable laws and regulations in your jurisdiction.
• You are at least 18 years of age.

Decor Houseware reserves the right to decline service to any party at its sole discretion.

2.1 Product Information. All product descriptions, specifications, images, and pricing displayed on our website or provided in quotations are for reference purposes only and are subject to change without prior notice. Actual product specifications shall be confirmed in the final purchase contract or proforma invoice.

2.2 Quotations. Quotations provided by Decor Houseware are valid for 30 days from the date of issuance unless otherwise stated. Prices are subject to change based on raw material costs, currency fluctuations, and market conditions.

2.3 Order Confirmation. An order is considered confirmed only upon receipt of a signed purchase order or proforma invoice and the agreed deposit payment. Verbal or informal commitments do not constitute a binding order.

2.4 Minimum Order Quantity (MOQ). We offer flexible low MOQ options to accommodate trial orders. Specific MOQ requirements vary by product and will be clearly stated in the quotation. OEM/ODM orders may have different MOQ thresholds.

2.5 OEM/ODM Services. Custom orders including private labeling, packaging design, logo application, and product modification are available. Intellectual property rights for custom designs shall be agreed upon in a separate agreement prior to production commencement.

3.1 Payment Methods. We accept payment via T/T (Telegraphic Transfer/Wire Transfer), L/C (Letter of Credit), and other methods as mutually agreed. All payments must be made in the currency specified in the proforma invoice.

3.2 Deposit & Balance. Standard payment terms require a 30% deposit upon order confirmation, with the remaining 70% balance payable prior to shipment. Alternative payment schedules may be negotiated for long-term partners.

3.3 Late Payment. Decor Houseware reserves the right to delay shipment or suspend services for overdue payments. Any bank charges or transfer fees incurred shall be borne by the buyer.

3.4 Pricing Currency. All prices are quoted in USD unless otherwise specified. Exchange rate fluctuations are the buyer's responsibility.

4.1 Sample Requests. Samples are available upon request for evaluation purposes. Sample fees and shipping costs are typically borne by the buyer unless otherwise agreed.

4.2 Sample Lead Time. Standard sample lead time is 7-15 business days depending on product complexity. Custom OEM samples may require additional time.

4.3 Sample Approval. Mass production will only commence after the buyer provides written approval of the pre-production sample. Any modifications requested after approval may result in additional costs and lead time adjustments.

Decor Houseware implements strict end-to-end quality control procedures throughout the production cycle, including pre-production sample inspection, in-process quality checks, and final shipment inspection. Our quality assurance process is designed to protect overseas buyers who are unable to conduct on-site inspections.

Third-party inspection services (e.g., SGS, BV, Intertek) can be arranged at the buyer's request and expense. Decor Houseware will cooperate fully with appointed inspection agencies.

Products are manufactured in compliance with applicable international standards. Specific certification requirements (e.g., CE, LFGB, FDA) must be communicated prior to order confirmation and may affect pricing and lead time.

6.1 Incoterms. Shipments are made under standard international trade terms (Incoterms 2020) as agreed in the purchase contract. Common terms include EXW, FOB, CIF, and DDP.

6.2 Lead Time. Production lead time is typically 30-60 days from order confirmation and deposit receipt, depending on product type and order volume. Lead times are estimates and may be subject to variation due to production schedules or force majeure events.

6.3 Shipping Risk. Risk of loss or damage transfers to the buyer at the point specified in the agreed Incoterms. Decor Houseware recommends buyers obtain adequate cargo insurance for international shipments.

6.4 Customs & Duties. The buyer is responsible for all import duties, taxes, and customs clearance in the destination country unless otherwise stated in the contract.

6.5 Delays. Decor Houseware shall not be held liable for delays caused by circumstances beyond our reasonable control, including but not limited to port congestion, shipping carrier delays, natural disasters, or government regulations.

7.1 Inspection Upon Receipt. The buyer must inspect all goods within 14 days of receipt. Any claims regarding quantity shortages, visible damage, or non-conformity must be submitted in writing within this period, accompanied by photographic or video evidence.

7.2 Quality Claims. Quality defect claims must be submitted within 30 days of receipt. Claims submitted after this period may not be accepted. Decor Houseware will investigate all claims in good faith and propose a resolution, which may include replacement, credit note, or partial refund at our discretion.

7.3 Returns. Goods may not be returned without prior written authorization from Decor Houseware. Unauthorized returns will not be accepted. Return shipping costs and any associated fees are the buyer's responsibility unless the return is due to our error.

7.4 Dispute Resolution. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), or as otherwise agreed in the purchase contract.

All content on the Decor Houseware website, including text, images, logos, product designs, and documentation, is the property of Decor Houseware or its licensors and is protected by applicable intellectual property laws.

For OEM/ODM orders, the buyer warrants that any designs, logos, trademarks, or artwork provided to Decor Houseware do not infringe upon any third-party intellectual property rights. The buyer assumes full legal responsibility for any IP infringement claims arising from buyer-supplied materials.

Decor Houseware will not reproduce, share, or use buyer-provided proprietary designs for any purpose other than fulfilling the buyer's order without explicit written consent.

Both parties agree to keep confidential any proprietary business information, pricing, product specifications, and trade secrets exchanged during the course of business. This obligation survives the termination of any business relationship.

Neither party shall disclose confidential information to third parties without prior written consent, except as required by applicable law or regulatory authority.

To the maximum extent permitted by applicable law, Decor Houseware's total liability to the buyer for any claim arising from or related to our products or services shall not exceed the total value of the specific order giving rise to the claim.

Decor Houseware shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, or reputational damage, even if advised of the possibility of such damages.

Decor Houseware does not warrant that our products are suitable for any specific end use. The buyer is responsible for ensuring products meet the regulatory requirements of the destination market.

Neither party shall be held liable for failure or delay in performance of obligations due to events beyond reasonable control, including but not limited to acts of God, war, government actions, pandemics, strikes, natural disasters, fire, or significant disruptions to transportation infrastructure.

The affected party shall notify the other party in writing as soon as practicable and provide documentation of the force majeure event. Both parties shall use commercially reasonable efforts to mitigate the impact and resume normal operations as soon as possible.

Decor Houseware collects and processes business contact information solely for the purpose of fulfilling orders, providing customer service, and maintaining business communications. We do not sell or rent your business data to third parties.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, unless otherwise agreed in a specific purchase contract between the parties.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where relevant, unless explicitly excluded in the purchase contract.

Decor Houseware reserves the right to update or modify these Terms of Service at any time. Changes will be effective upon posting to our website with an updated revision date. Continued engagement with our services after such changes constitutes acceptance of the revised Terms.
